The Assistant General Counsel – Corporate Affairs is a senior position within Simmons Bank’s legal department responsible for providing legal advice to the bank and Simmons First National Corporation on laws and regulations affecting corporate governance, strategic corporate transactions (including mergers and acquisitions, as well as corporate financings), and public company disclosures. This individual will also oversee the drafting and negotiation of agreements with third-party service providers. This individual will report directly to the bank’s General Counsel and manage other attorneys within the legal department, as well as outside counsel.
Essential Duties and Responsibilities Provide expert advice to management concerning, and assist in ensuring compliance with, corporate governance requirements under state law, SEC rules and regulations, and exchange listing requirements Provide expert advice to management concerning, and assist in ensuring compliance with, public company disclosure requirements under federal securities laws, rules and regulations Assist with matters concerning the boards of directors of the bank and Simmons First National Corporation, including preparation of meeting materials, resolutions, minutes, and relevant research Manage legal aspects of strategic mergers and acquisitions, including drafting agreements and disclosures, as well as working with management of business units on integration-related matters Draft and provide comments on securities disclosures, including Forms 10-K/Q, 8-K, Section 16 filings, registration statements, investor presentations, etc. Draft the proxy statement and related materials for Simmons First National Corporation’s annual shareholders’ meeting, and assist as requested with investor relations matters Oversee subsidiary management and corporate recordkeeping Direct and supervise outside law firms on specific projects, when appropriate Draft correspondence, memoranda, agreements, contracts, and other legal documents Assist in the development, modification, and interpretation of corporate governance-related policies, practices, and procedures Manage strategic/special projects as assigned Effectively manage other attorneys within the legal department Assist as requested with management of the legal department, including departmental budget management Perform other duties and responsibilities as assigned

Education and/or Experience A law degree from an accredited law school Admission to at least one state bar At least six years of experience as an attorney in a large law firm, regulatory agency, or corporate legal department, including at least four years of securities law experience At least two years of supervisory experience preferred Public company experience preferred
Other Qualifications (including physical requirements) Ability to maintain the highest level of confidentially and sensitivity towards all work-related information
