Experienced Senior Corporate Paralegal -- Public Company ReportingExperience Required

A position hasbecome available for an Experienced Corporate Paralegal withCantor Fitzgerald.This diverse position reports to ourAssistant General Counsel and will be responsible for working closely withlegal staff in connection with our real estate capital markets business.Superior organizational skills and followthrough are needed for this position, as well as willingness to take on specialprojects.


-Preparation ofand assistance with preparation of public filings (including registrationstatements and periodic reports) with the SEC

Support for acquisitions and sales of businesses and other corporate transactions for all of the Cantor companies. Including Cantor Fitzgerald, Newmark, BGC, and other ventures.

-Communicatingwith officers and directors both verbally and in writing on a variety ofmatters; maintaining public company minute books

Preparation of various reports, that will be distributed among regulators and general counsel

Maintaining date, and room review/population

-Conducting due diligence, and preparingresponses in connection with third party due diligence requests

-Communicatingwith state securities regulators

-Position willalso include some corporate paralegal responsibilities including:

oNon-disclosure agreements

oAssistingwith forming new legal entities

oDraftingminutes and maintaining minute books

oMaintainingcorporate records including corporate officers and organizational charts

oReal estatetransactions, including the acquisition and disposition of real estate assets

oSomedevelopment and maintenance of our legal file system including scanningdocuments into document retention system

Candidate will havea strong work ethic and professional demeanor as well as be flexible and be aself-starter with the ability to develop the position and offer to assistwithout significant direction. Follow up and communication skills are critical.Candidate should be able to listen and act on detailed instructions and beorganized and demonstrate good judgment and ability to maintainconfidentiality.Position requires agood attitude and ability to remain focused and flexible as well as the abilityto work well and coordinate with the entire legal staff as well as outside directors and seniorcorporate executives.

Successfulcandidates should have Paralegal Certification and/or Bachelors degree; strongcommunication skills and computer proficiency (MS Word and Excel). Previousin-house corporate experience and/or real estate industry experience ispreferred and experience with SEC filings is required.
