You will be responsible for proactively providing support for the day-to-day operations of the General Counsel and Legal & Compliance Department. You will be a professionally established individual with comprehensive executive administrative or paralegal experience. Your role will be to partner with the GC, Senior Corporate Counsel, and team to manage schedules and logistics, assist with Board and corporate governance matters, assist with drafting, document production and signature processes, manage due diligence projects, conduct legal research, and maintain corporate records. A critical part of this role is to understand the priorities of the company and the Legal & Compliance Department to effectively prioritize time among many conflicting priorities and serve as a reliable point of contact/liaison for internal and external parties. You will join a mid-sized Legal and Compliance team to help build Coursera’s platform, and work across the entire organization (especially with sales, finance, business development, and HR) in service of Coursera’s growth and long-term success. Your responsibilities Assist with document drafting, formatting, redlining, version control, and presentation materials Maintain all legal files and documents in Google drive Prepare and distribute Board minutes and UWCs Coordinate due diligence projects, including data room set-up Maintain database of partner and enterprise logo and data-sharing permissions Maintain corporate integrity (annual filings, government information requests) and manage legal compliance of our foreign subsidiaries Maintain regulatory and other trackers Monitor trademark watch reports, coordinate patent declaration and assignment documents, and maintain patent and trademark files Provide leverage for GC, including managing complex calendar and inbox Partner with the GC to understand priorities and build relationships across the organization to be a valuable liaison for requests to and from the rest of the Company Schedule and coordinate logistics for domestic and international meetings and teleconferences and ensure meetings run smoothly Perform integrity checks (e.g., confirm that no additional unapproved changes have been made to execution copies) Coordinate obtaining signatures through Docusign and hard copy Handle special projects and back-up for Legal Operations and Contract Management as required or requested
Your skills 5+ years paralegal experience directly supporting General Counsel, preferably at a company with at least $150M in revenue or corporate law firm experience The ability to work collegially and in an ethical, professional, and tactful manner Demonstrated integrity while handling confidential information; understands the need to handle sensitive information with absolute discretion The ability to work independently and to be self-motivated while handling multiple assignments with moderate supervision Familiarity with legal terminology, principles and documentation, and with corporate and Board matters Superior organizational skills, high attention to detail and consistent follow up Mac, Google suite, Microsoft Office and DocuSign proficiency preferred, including Microsoft Word, Powerpoint and Excel and Google Calendar, Docs and Sheets skills Experience scheduling in Google Calendar and with Zoom meetings Ability to learn new systems, tools, and concepts without formal instruction Strong verbal, written, and customer service skills a must Ability to work in a fast-paced environment with changing priorities, under tight deadlines Must be available beyond normal office hours if needed
