The Cognizant Legal team is lookingfor a Senior Commercial Transactions/Strategic Deals Corporate Counsel to joinus in Dallas, Texas; Denver, Colorado; Washington, DC, or Teaneck, NJ.This role will be focused on a wide range oftechnology related commercial transactions and you will be responsible for thefull range of legal responsibilities associated with Cognizant’s strategic commercialtransactions, including:

  • Working in concert with Strategic Deals lead attorney to negotiate and coordinate all legal aspects of complex global strategic engagements;
  • Negotiating other complex commercial contracts with our customers, many of which are represented by top law firms;
  • Collaborating with fellow attorneys to develop and maintain templates, playbooks, contracting policies, negotiation practices, and escalation procedures;
  • Addressing legal queries from business teams across various aspects law, contract and related customer inquiries, including compliance, intellectual property, privacy, litigation, and employment;
  • Assisting GC of Corporate & Client Services and GC, UK & EMEA & Data Privacy Officer with project work, such as implementation of new contracting and data management platform
  • This fast-paced role requiresexcellent communication and time management skills. As Commercial Transactions/StrategicDeals Corporate Counsel, you will either work as a dedicated attorney forStrategic Deals, an assigned vertical attorney, or work in a broader role formultiple verticals.

    Qualifications:

  • Licensedattorney with a minimum of 8 years’ expertise in large and complex commercialtransactions with at least some time spent at a large reputable law firm;

  • Priorexposure to IT outsourcing strongly preferred but not required;

  • Experiencein a wide variety of contract drafting and negotiations, preferably representingservice providers;

  • Exposureto master service agreements, software-as-a-service agreements, or othercommercial agreements with complex intellectual property, licensing, privacy,indemnity, and other risk allocation issues;

  • Abilityto work efficiently, meet demanding deadlines in a fast-paced environment;prioritize work, and adjust to frequent workload fluctuations across multipletime zones;

  • Enjoyworking in a rapidly changing and diverse environment and comfortablenavigating through new challenges;
