This role is responsible for leading the legal, regulatory, governance and compliance functions of Fortitude Reinsurance Company Ltd., a Class E and Class 4 licensed Bermuda reinsurer. This position is a direct report to the Senior Vice President & General Counsel, Fortitude Group Holdings, LLC and is based in Bermuda.. Provide timely and cost effective legal and compliance support to the Company, including with respect to:. Regulatory & Governance. Maintain corporate governance framework in compliance with regulatory and internal standards. Ensure Company operates consistently and complies with Bermuda Companies Act 1981, Insurance Act 1978 and all other relevant laws and regulations, including overseeing all Company annual and other regulatory filings and applications. Serve as liaison to Bermuda Monetary Authority and other applicable government entities with respect to all legal, regulatory and compliance matters and regulatory exams and inquiries. Attend meetings of the Board of Directors and Committees, and provide advice on board and committee governance matters under Bermuda law. Manage Company's corporate administrator. Serve as Company representative to applicable industry and trade organizations in Bermuda. Transactional. Structuring, negotiating and drafting contracts including bespoke agreements related to M&A; (re)insurance; and agreements ancillary thereto. Draft, negotiate and advise on commercial and general corporate contracts. Advise on transaction structure options under Bermuda law, including segregated account company and capital markets structures. Perform responsibilities of \"Compliance Officer\" as specified in applicable Bermuda law and regulation. Establish, monitor and manage Company's compliance with Bermuda legislative and regulatory frameworks covering compliance risk areas. Establish, monitor and manage Company's compliance with internal policies and procedures. Establish and monitor compliance risk assessment tool. Design and implement an internal control framework as it relates to the compliance risk assessment. Provide guidance and training to Company employees on compliance matters. QUALIFICATIONS. Minimum of 7 years of relevant experience with a highly recognized law firm or as a senior in-house counsel. Relevant compliance certifications (e.g., AML Specialist). Expert comprehension of the Bermuda Companies Act 1981 and Insurance Act 1978 and statutory regulations relating to the administration of (re)insurance and holding companies in Bermuda.. Experience with reinsurance, particularly with respect to legacy (run-off) portfolios. Proven effective communicator, demonstrating flexibility to adapt to different audiences. Demonstrated experience as a change agent, driving innovative and effective approaches to problem solving. Demonstrated commitment to excellence in the provision of legal and compliance advice. Strong analytic and problem-solving skills. Collaborative approach. Discretion with confidential information. Deep understanding of the legal and compliance system as it affects business. Excellent communication and interpersonal skills. Simultaneously flexible and detail-oriented. Superior judgment.
