Rosetta Stone Inc. (NYSE: RST) is seeking to add an experienced securities attorney to its law department. This attorney will work from Rosetta Stone's Arlington, VA offices and will report to the General Counsel and Corporate Secretary. Local candidates are preferred.. Essential Duties and Responsibilities. Ensuring ongoing company compliance with all applicable filings with U. S. Securities and Exchange and NYSE, including periodic filings, proxy statements and Section 16 reporting. Supporting the General Counsel and Corporate Secretary with Board of Directors matters including preparing meeting materials, consents, resolutions and certificates, charters and policies and attending meetings and taking minutes. Working closely with business group leaders to structure and negotiate business transactions and strategic business development initiatives. Providing support for other securities law and corporate governance matters, including but not limited to: Rosetta Stone's insider trading policy, Regulation FD, code of ethics and business conduct, enterprise risk assessments, SOX, FCPA and antitrust. Providing support with respect to corporate finance transactions such as securities offerings and credit agreements and preparing related documents. Providing support with executive compensation and equity compensation disclosure/administration. Providing support with earnings releases, analyst and investor conferences, disclosure issues and shareholder proposals. Providing support with corporate governance matters and global entity management. Coordinating work and advising with outside counsel and internal clients while effectively managing outside counsel work product and costs. Supervisory Responsibilities:. No direct reports initially. Influencing and cross-matrix working skills are essential to assign and supervise the effective completion of tasks with project teams and individuals that report directly to other supervisors.. Education/Experience Requirements:. 4-7 years of directly related legal experience, at a national law firm and/or in-house legal department.. Law degree from a U.S. law school, admission to the bar of at least one state, and willingness to be admitted to the Virginia bar as a Corporate Counsel required.. Experience with 33 Act and 34 Act filings, including Forms 10-K, 10-Q and 8-K, and working with Finance, Accounting and Human Resources team members and independent auditors on such filings.. Experience with US securities law and NYSE listing standards compliance, including advising Boards of Directors, executive teams, investor relations, corporate communications and others.. Experience working on corporate governance matters and exposure to working with a Board of Directors.. Experience with partnering with business leaders to develop and implement business strategy.. Working Conditions:. Work is normally performed in an office environment.. Occasional travel and extended hours at times may be required..
